Welcome to Freedam (the "Site"). Freedam provides a Digital Asset Management platform for storing, organizing, searching, and distributing digital assets (the "Services"). These Terms and Conditions (the "Terms") govern your access to and use of the Services. Please read them carefully.
By creating an account or using the Services in any way, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, you must not use the Services.
These Terms form a binding agreement between you (or the organization you represent) and Freedam. If you use the Services on behalf of an organization, you represent that you have the authority to bind that organization, and "you" refers to that organization.
We may refuse to provide the Services to anyone at our sole discretion, and access to the Services is conditional on continued compliance with these Terms - in particular the Acceptable Use Policy below.
Below is a list of definitions for the terms used in these Terms:
To use the Services you must create an account. When you do, you agree that:
- You are at least 18 years old and legally capable of entering into this agreement
- The registration information you provide is accurate and kept up to date
- You are responsible for safeguarding your credentials and for all activity that occurs under your account, including activity by team members you invite
- You will notify us promptly of any unauthorized use of your account
You may not create accounts by automated means, create multiple accounts to circumvent Free Plan limits, or transfer your account to another party without our consent.
The Services are offered under paid plans and a Free Plan, as described on our pricing page and explained in how billing works.
The Free Plan is provided as a courtesy to let you evaluate and use Freedam at limited scale. We may change its limits, features, or availability - or discontinue it - at any time. The Free Plan is intended for genuine use of the Service as a Digital Asset Management platform; it is not general-purpose file hosting or a content distribution network, and we may suspend accounts that use it primarily to store or distribute content unrelated to legitimate asset management.
Paid subscriptions renew automatically until cancelled. Fees are non-refundable except where required by law or expressly stated otherwise.
Your User Content remains yours. We claim no ownership over anything you upload. You grant us a limited, worldwide, non-exclusive license to host, store, process, reproduce, and display your User Content solely as needed to operate and provide the Services - for example generating previews and thumbnails, running AI analysis you request, and distributing assets to the people you share them with.
You are solely responsible for your User Content. By uploading content, you represent and warrant that you own it or hold all rights, licenses, and consents necessary to upload and distribute it through the Services, and that it does not violate these Terms or any applicable law.
The Services must never be used to store, process, share, or distribute unlawful or harmful material. You must not upload, store, or distribute any of the following:
Illegal Content
Any content that violates applicable local, national, or international law, or that facilitates illegal activity.
Child Sexual Abuse Material
Any sexual or exploitative content involving minors. We report such material to the relevant authorities without notice.
Pornographic Content
Pornography or sexually explicit material, including non-consensual intimate imagery.
Pirated or Infringing Material
Warez, cracked software, license keys, or any content that infringes copyright, trademark, or other intellectual property rights.
Malware
Viruses, ransomware, spyware, or any code designed to harm, disrupt, or gain unauthorized access to systems or data.
Harassment and Hate
Content that threatens, defames, harasses, or incites violence or hatred against individuals or groups.
Fraud and Deception
Phishing material, scams, counterfeit goods, or content intended to deceive or defraud others.
Abusive Storage
Using the Service as a dumping ground, backup target, or distribution mirror for content unrelated to digital asset management.
In addition, you must not attempt to probe, breach, or circumvent security or access controls; interfere with the operation of the Services or other users' use of them; scrape or harvest data from the Services; or resell or sublicense the Services without our written permission.
We do not systematically review User Content, and we are under no obligation to monitor it. However, to keep the Services safe and lawful:
Automated Scanning
All uploaded files are scanned for viruses and malware upon ingestion, and we may use automated tools to detect prohibited content.
Review on Report
We may review specific content when it is reported to us, flagged by automated systems, or when required by law.
Removal
We may remove or disable access to any content that we reasonably believe violates these Terms, without prior notice.
Reporting to Authorities
We cooperate with law enforcement and will report illegal content and preserve related records where the law requires it.
Because we do not pre-screen content, you acknowledge that responsibility for User Content rests with the user who uploaded it, and that Freedam acts as a hosting provider that responds to notices of unlawful content.
We respect intellectual property rights and expect our users to do the same. If you believe content hosted on the Services infringes your copyright, send a notice to [email protected] including:
- Identification of the copyrighted work you claim is infringed
- The URL or other precise location of the allegedly infringing material
- Your contact information and a statement that you have a good-faith belief the use is not authorized
- A statement, under penalty of perjury, that the information in your notice is accurate and that you are the rights holder or authorized to act on their behalf
We will remove or disable access to infringing material upon receipt of a valid notice, and we may terminate the accounts of repeat infringers.
You may stop using the Services and delete your account at any time. We may suspend or terminate your access - immediately and without prior notice - if we reasonably believe that:
- You have violated these Terms, in particular the Acceptable Use Policy
- Your use creates legal exposure, security risk, or operational harm for Freedam or other users
- Suspension is required by law or by a competent authority
- Your account on a Free Plan has been inactive for an extended period
Upon termination, your right to use the Services ceases immediately. We may delete your User Content after termination, subject to any legal retention obligations. Provisions that by their nature should survive termination (including ownership, disclaimers, limitation of liability, and indemnification) survive.
Freedam is software that can be self-hosted. These Terms govern our hosted Services only. Self-hosted deployments are governed by the applicable software license agreement entered into with us, and the operator of a self-hosted instance is solely responsible for its content, its users, and compliance with applicable law. Freedam incorporates open-source components, each governed by its own license, but Freedam itself is proprietary software and is not open source.
The Services are provided "as is" and "as available", without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or secure, or that AI-generated output (tags, captions, transcriptions, or similar) will be accurate.
To the maximum extent permitted by law, Freedam and its operators shall not be liable for any indirect, incidental, special, consequential, or punitive damages - or any loss of profits, revenue, data, or goodwill - arising from or related to your use of the Services, even if advised of the possibility of such damages.
In particular, Freedam is not liable for User Content uploaded by users, and our total aggregate liability for any claim arising out of these Terms or the Services shall not exceed the amounts you paid us for the Services in the twelve months preceding the claim (or, for Free Plan users, one hundred euros).
Nothing in these Terms excludes liability that cannot be excluded under applicable law.
You agree to indemnify, defend, and hold harmless Freedam and its operators from any claims, damages, losses, and expenses (including reasonable legal fees) arising from your User Content, your use of the Services, or your violation of these Terms or of any third-party right - including intellectual property rights.
These Terms are governed by the laws of France, without regard to conflict of law principles. Any dispute arising out of or relating to these Terms or the Services shall be subject to the exclusive jurisdiction of the competent French courts, except where mandatory consumer protection law grants you the right to bring proceedings elsewhere.
We may update these Terms from time to time. We will notify you of material changes by posting the new Terms on this page and, for significant changes, via email or a prominent notice in the Service before the change becomes effective.
Your continued use of the Services after changes become effective constitutes acceptance of the revised Terms. If you do not agree, you must stop using the Services.
